ARTICLE 1
NAME AND CORPORATION


Section 1. Name and Address.

The name of this Club shall be: Stockton Figure Skating Club.

Section 2. Incorporation.

The Club was incorporated under the Laws of the State of California on February 13, 1975. The Incorporation Number is C0730922.

Section 3. Corporate Seal.


The Corporate Seal shall be

The official address of the Club shall be: Post Office Box 4082, Stockton, CA 95204-4082.

ARTICLE II
NATURE AND CHARACTER


The club shall be and remain solely an amateur and non-profit social and athletic organization.

ARTICLE III
PURPOSE


The purpose of the Club shall be twofold:

1. to encourage interest, participation, and sportsmanship in all phases of figure skating, and
2. to cultivate a fraternal feeling among members and competitors.

ARTICLE IV
PROGRAM


The Club's goals shall support the sport of figure skating by means of affiliation and registration of members with the United States Figure Skating Association (USFSA).

To achieve its goals in the Stockton area, the Club has adopted the following objectives:

A. To arrange ice time for figures, Moves in the Field (MIF), freestyle, synchronized team skating and dance sessions for Club members, as deemed appropriate and necessary.

B. To schedule figures, MIF, freestyle, synchronized team skating and dance tests for Club members.

C. To make arrangements to schedule judges for tests, competitions, and other club activities.

D. To sponsor other events which may include but is not limited to Club competitions, ice skating shows, and Club parties.

ARTICLE V
MEMBERSHIP


Section 1. Qualifications.

Candidates for membership shall be individuals interested in the purposes of the Club who conform to the definition of eligible or ineligible skater as specified in the rules and constitution of the USFSA.

Section 2. Applications for Membership.

Applications for admission, with appropriate fees, shall be submitted to the Membership Chair.
Upon approval of the application by the Board of Directors, the applicant shall become a member of the Club.

Section 3. Membership Year.

The membership year shall begin July 1 and end June 30 of the following year.

Section 4. Types of Membership.

A. Home Club Membership: Any person who is an amateur as defined in the by-laws and constitution of the USFSA. Home Club skaters under eighteen shall have one voting parent or legal guardian who must also be a voting Member. Home Club members shall have preference over Associate members. Home Club members aged 18 years and older shall have voting privileges.

B. Honorary Membership: Any person who is an amateur, as defined in the by-laws and constitution of the USFSA, and who has rendered distinctive service to the Club, or who is a person of eminence in figure skating may be awarded Honorary membership by the Board of Directors and shall be entitled to all privileges of Home Club membership. Honorary members aged 18 years and older shall have voting privileges.
C. Associate Membership: A person who is a member of USFSA holding a valid membership in another USFSA sanctioned club may join as an associate of the Stockton Figure Skating Club with restricted skating privileges as defined by Article X, Section II. An Associate member may not vote, serve on the Board of Directors, or serve as Test Chairperson.

D. Restricted Membership: Professionals shall be accepted as restricted members of the Club. Restricted members may not vote, serve on the Board of Directors, or serve as Test Chairperson.

E. General Membership: A person or business wishing to support figure skating. General members aged 18 years and older shall have voting privileges.

F. Judges: Judges shall be Home Club members with voting privileges.

Section 5. Membership Dues and Fees.

A. The Board of Directors shall establish dues for each type of membership annually.

B. The Board of Directors shall establish fees for Club Ice time.

C. The Board of Directors shall establish miscellaneous fees, as deemed appropriate and necessary.

D. Dues for each membership year are payable July 1st and become delinquent if not paid by July 31st. A late renewal fee, as established by the Board of Directors, shall be charged for each delinquent membership renewal.

Section 6. Reinstatement.

Any former member may apply for reinstatement of membership.

A reinstated person is defined in the USFSA Rulebook, ER 1.04.

Reinstatement shall become effective upon approval by the Board of Directors of such application and payment of any required dues and reinstatement fees.

Section 7. Indebtedness.

All rights of a member shall be suspended for failure to pay, on demand, any indebtedness owed by the member to the Club. Rights of such member shall not be restored until such indebtedness is paid.

Section 8. CONFLICT RESOLUTION

If any Stockton Figure Skating Club (CCIA ) member(s) has a complaint against another member for an infraction of any bylaw or rule other than skating rules, they may file such complaint in writing to the board. Such complaint will be received and investigated in accordance with the Association's adopted conflict resolution policy by a 3-person Grievance Committee. The members of the Grievance Committee will be appointed by the Co-Chairs.

A. Complaints: Any member(s) having a complaint against another member for the infraction of any law or rule, or for conduct injurious to the Club, may report the same, in writing, to the Board of Directors. Such complaint shall set forth the facts of the case, together with the names of witnesses, if any. After receiving such complaint, a meeting of the Board of Directors shall be held to investigate the same. The Board of Directors shall determine the validity of the complaint and determine action as deemed appropriate and necessary.

B. Misconduct: The Board of Directors shall have full power to suspend or expel any member for any misconduct, which, in the opinion of the Board of Directors, is injurious or prejudicial to the reputation or best interests of the Club. A majority of Board Members must vote in favor of starting the procedures in Article V. Section 8, B, 1., 2., and 3. Suspension or expulsion from membership shall be accomplished as follows:

1. The Board of Directors shall give the accused member a brief written statement of the allegations charged against him/her and the time and place that the Board shall hear the charges. The Secretary shall mail, through registered mail with return receipt, the statement to the member at his/her last known address. A hearing shall be held not less than 10 days or more than 30 days from the date of the notice.

2. At the hearing any Board Member may state the allegations. The alleged member shall have the right to respond to allegations and offer his/her defense.

3. Within 10 days after the hearing, the Board of Directors shall decide whether to dismiss the allegations or take disciplinary action as the Board deems appropriate and necessary. Such decision by the Board shall be final. The Secretary shall provide written notice of such decision to the member at his/her last known address.

Section 9. Removal.

Any officer or director may be removed from office by the unanimous vote of the directors voting at a special meeting called for this purpose, except the Director under consideration for removal shall not vote.

Section 10. Rights of a Member who Becomes a Professional.

Any member who becomes a professional, or is so adjudged by either the Board of Directors of the Club or the USFSA, shall become a restricted member.

Section 11. Club Meetings.

A. Time: There shall be at least one annual stated Club membership meeting each year. A stated meeting shall be held within one month after the skating season opens, or within one month after the skating season closes.

B. Special Meetings: The Board of Directors may call special meetings of the membership at any time by resolution of the Board or by petition signed by 25% of the members entitled to vote.

C. Quorum: Thirty (30%) percent of all members who are entitled to vote and are in good standing shall constitute a quorum for the transaction of business.

D. Notices: Notices of stated and special meetings shall be mailed by the Secretary to every member at least ten (10) days in advance thereof, and/or shall be posted by the Secretary for the same length of time on the Club bulletin board.

E. Special Meeting Limitation: No business shall be transacted at a special meeting except that of which notice was given.

Section 12. Termination & Suspension of Membership.

Any member's membership may be terminated by a majority vote of the Board of Directors. Notice shall be given to said member by registered mail at his or her address as it appears on the Club records within ten (10) days of the termination. Termination and/or suspension of membership does not relieve the terminated or suspended member from any obligations for charges incurred, services or benefits actually rendered, dues, assessments, or fees arising from contract or otherwise. Appeal rights shall be as governed by the USFSA rules and bylaws.

ARTICLE VI
BOARD OF DIRECTORS


Section 1. Organization.

The Board of Directors shall consist of nine eligible members, 18 years of age or older, duly elected by the membership of the Club in accordance with the provisions of this article. Specifically, this Board of Directors is comprised of five members hereafter referred to as Club Officers and four members hereafter referred to as Directors.

Eligible members who may serve on the Board must be Home Club, Honorary, and/or General members. Spouses may not serve on the Board of Directors at the same time. Also rink management may not serve on the Board of Directors.

Section 2. General Powers.

The Board of Directors shall have general power to receive and expend moneys of the Club, to enter into contracts and agreements, and to conduct all business necessary to accomplish the purposes of the Club. The Board of Directors shall have the right to make such rules as it deems necessary to regulate and control all Club sessions and events. The Board of Directors shall not be held liable for acts of commission or omission done in good faith.

Section 3. Term of Office.

Term of office for each Board Member shall be two years, three Board Members shall be elected in odd numbered years and four Board Members shall be elected in even numbered years. Interim vacancies shall be filled by a vote of a majority of all remaining Board Members. A Board Member so chosen shall complete the unexpired term. No Board Member shall serve more than two years without being re-elected by the general membership. Any resignation of a Board Member shall be submitted in writing, shall be irrevocable after its presentation to the Board, and shall appear as part of the minutes at the meeting so presented.

Any Board Member missing three meetings per year may be removed from the Board. Such a Board Member may appear in person no later than the next meeting to appeal his/her removal.

Section 4. Nominations.

A. Nominating Committee: During the March meeting of the Board of Directors, the Board shall appoint a nominating committee consisting of no more than three voting members in good standing, who are at least eighteen years of age. The President shall designate one member to act as chairperson.

B. Nominations for Vacant Board Positions: Before the April Board meeting, the Nominating Committee shall notify the general membership of the Club that nominations are now open for upcoming board vacancies. Notification may be made by mail, web newsletter, e-mail, telephone calls, and/or posted notices at the Club's home rink. The open nomination period for the general membership must be no less than two (2) weeks or 14 calendar days.

People nominated for upcoming Board positions must be voting members in good standing.. At the April Board meeting the Nominating Committee shall provide the Board with a list of nominees who have accepted his/her nomination. Nominations shall also be accepted from the floor. The Board of Directors shall approve the list of nominations and those made from the floor.

Section 5. Elections.

Elections shall take place by mail. Members of the nominating committee shall serve as election judges who shall prepare the ballots. At least thirty (30) days before the June Board meeting, the Nominating Committee shall mail the following to each member entitled to vote:

1. a ballot with the nominees' names in alphabetical order;
2. a biography of each nominee;
3. election instructions and deadline;
4. one (1) plain unmarked envelope into which the member shall place such ballot; and,
5. one (1) stamped, return envelope.

In order to verify membership in the Club the voting member must place his/her name and address on the return envelope. The Nominating Committee must receive all ballots at least two days before the June Board meeting. Proxy votes will not be accepted.

The election judges shall count the ballots at the June Board meeting. The chair of the election judges shall announce the election results. The Secretary shall preserve the records of an election for at least one year.

Section 6. Meetings.

The Board of Directors shall schedule a board meeting for each month. The Board shall also determine the time, date and place of such meeting. A calendar of board meetings shall be posted at the Club's home rink. The President or any three Directors may call a special board meeting by notifying the Secretary. The Secretary shall notify all board members of the time and place of all regular and special Board Meetings. The Secretary shall prepare the minutes of all Board Meetings. Upon a member's request, a copy of the approved minutes shall be made available. By the June Board Meeting, the new Board of Directors shall meet and elect officers for the following year.

Section 7. Quorum.

A majority of the members of the Board of Directors shall constitute a quorum.

Section 8. Agendas.

The Secretary shall be responsible for the preparation of the agenda for each Board meeting. The Secretary shall also submit the proposed agenda to the President for input and final approval before release.

Any topics for discussion and/or special presentation shall be approved by the President for inclusion on the agenda. Also the President shall approve the attendance and presentation of any guest speaker at a Board meeting. Approval must be given by the President at least twenty-four (24) hours before such meeting.
A tentative agenda shall be posted at the Club's home rink at least five (5) days before a scheduled Board meeting.

Section 9. Board Member Limitation.

The office of the board member shall be ipso facto vacated:

A. If he/she is found to be mentally incapacitated.
B. If he/she is convicted of a felony.
C. If by notice in writing to the Club, he/she resigns his/her office.

Section 10. Vacancies.

Interim vacancies shall be filled by a vote of a majority of all remaining Board Members. A Board Member so chosen shall complete the unexpired term.

In the event of a vacancy on the Board of Directors, it shall be filled by vote of the remaining Board Members by a senior member in good standing who has been a Club member for at least 6 months. Such appointed Board Member shall fill the unexpired term of the vacated Board Member position.

Section 11. USFSA Delegates.

The Board shall appoint from among its registered eligible members a number of delegates in proportion to the total number of registered members of such member Club during the current fiscal year as specified in the USFSA Bylaws, Article XV. The delegate(s) shall be representative(s) between the Club and the USFSA and shall attend the USFSA Governing Council meeting, either in person or by proxy. Said Club shall file a certificate of such appointment with the Association and the certificate shall be provided by the Association.

ARTICLE VII
OFFICERS


Section 1. Officers.

The officers of the club are: President, Vice-President, Secretary, Treasurer and Parliamentarian. The officers shall be elected from within the new Board Members. All officers shall be elected for one year and shall take office at the July General Meeting.

Section 2. Duties of the President.

The President shall be the chief officer of the Club and shall preside at all meetings of the members and of the Board and shall generally perform all duties of such office.

It shall be the duty of the President to take charge of the Club; to preside at all meetings of the Club and of the Board of Directors. The President shall have the entire supervision and management of the Club and its property pending the action of the Board of Directors; the power to suspend any member for violating the bylaws or regulations of the Club pending the approval of the Board; and the power to call special meetings and Club meetings. The President, together with the Secretary, shall sign all agreements and contracts made by the Club upon the approval of the Board of Directors.

Section 3. Duties of the Vice President.


It shall be the duty of the Vice President to assist the President in the discharge of his/her duties and in the absence of the President, to assume the duties and officiate in his/her stead.

Section 4. Duties of the Secretary.

It shall be the duty of the Secretary to keep the "minutes of the meeting" of the Club and of the Board of Directors, to supervise all reports and documents connected with the business of the Club, and to issue notices of all meetings of the Club and Directors.

Section 5. Duties of the Treasurer.

The Treasurer shall have charge of the funds of the Club, shall keep a record of all receipts and disbursements and shall render a written report at each Board meeting. Disbursements shall be made only upon vouchers approved by the Board of Directors.

The Board of Directors has the power, whenever they deem it necessary, to appoint an acting Treasurer. The funds shall be deposited in the name of the Club in a bank approved by the Board of Directors, or in securities approved by the Board of Directors. All disbursements by check shall be signed by the Treasurer and the President and another designated officer or member of the Board of Directors. The Treasurer shall not withdraw from the Club's savings account or other investment any funds earned in a prior year, except upon the vote of a majority of Board Members. The Treasurer shall prepare a yearly financial report and budget for presentation at the Annual Meeting and make an annual financial report to the accountant for preparation of all year-end filings for all government agencies, where required.

Section 6. Duties of the Parliamentarian.

The Parliamentarian shall ensure that all meetings are conducted in accordance with "Robert's Rules of Order". "Robert's Rules of Order" shall govern all meetings of the Club and the Board when applicable and where they are not inconsistent with these bylaws and the rules and bylaws of the USFSA. The Parliamentarian will maintain the historical records of club events and participants.

ARTICLE VIII
COMMITTEES


The President, with the approval of the Board of Directors, shall appoint such committees and chairpersons as deemed necessary and shall confer such powers as may be necessary to accomplish the purposes of the committees. Any member entitled to vote may be appointed to serve as member or chairperson of any committee and shall serve at the discretion of the Board of Directors. The President shall serve as an ex-officio member on all committees except the nominating committee.

The following are the Standing Committees of the Club and shall be activated by necessity:

A. Social Chairperson: Shall be appointed from the active membership of the Club. He/she shall oversee Cast Party, General Meeting, Awards Banquet/Dinner, and related activities.

B. Special Events Chairperson: Shall be appointed from the active membership of the Club. He/she shall oversee Club sanctioned shows, competitions, and other related events.

C. Test Chairperson: Shall be appointed from the active membership of the Club. He/she shall be responsible and in complete charge of:

1. in conjunction with rink management, selecting a time and place for the tests;
2. in conjunction with the Central California Interclub Association (CCIA) Judges Bureau, arranging for approved USFSA Judges; and
3. conducting the USFSA Tests on the selected test dates.

The Test Chairperson shall also be responsible for conducting the Test program for the USFSA, maintaining a perpetual Judges and Trial Judges program to insure the availability of an adequate number of judges, supervising tests, maintaining records and making reports as required by the Rules of the USFSA.

D. Publicity Chairperson: Shall be appointed from the active membership of the Club. He/she shall be responsible for news releases which include the activities of the Club or its members in the sport of figure skating. He/she shall maintain good relations with the print and electronic media.

E. Central California Interclub Association (CCIA) Delegate: Shall be appointed from the active membership of the Club. He/she shall solely represent the interests of the Stockton Figure Skating Club, and attend regular CCIA meetings.

F. Club Ice Chairperson: Shall be appointed from the active membership
of the Club. He/she shall administer Club skating sessions in accordance with Stockton Figure Skating Club Ice rules.

G. Sanctions Chairperson: Shall be appointed from the active membership of the Club. He/she shall apply to USFSA for sanctions of Club activities, i.e., competitions, shows, etc.

H. Fundraising Chairperson: Shall be appointed from the active membership of the Club. He/she shall present to the Board of Directors all ideas and suggestions that raise funds to support Club activities and oversee and coordinate all fundraising activities that benefit the Club.

I. Newsletter/Webpage Chairperson: Shall be appointed from the active membership of the Club. He/she shall update the club webpage monthly. In case the webpage is inaccessible or inoperable, then the Chairperson shall release a printed newsletter to the general membership.

Committee members are required to attend and report at Board Meetings.

ARTICLE IX
INSTRUCTORS

The Board of Directors may at any time employ a skating instructor for any Club session on any terms it deems advisable. Any instructor so employed or admitted is subject to the By-Laws and rules of the Club and agree to hold the Club harmless from any accident to themselves. Members shall have the right to arrange for instruction with any professional instructor admitted to the Club sessions by the Board of Directors provided, however, that the Club shall not be liable to any extent for or on account of such arrangements.

ARTICLE X
CLUB ICE

Section 1. Guests.


Members of the Board of Directors or session chairperson may invite to Club Ice sessions members of another club, visiting dignitaries, or any professional skater or instructor on a complimentary basis. All invited guests shall be members of USFSA.

Guests at any Club Ice session shall be bound by the rules, regulations and by-laws of the Club to any Club Ice session, subject to the rules and regulations made by the Board of Directors. Guests must register with the Club Ice Monitor.

Guest skaters are permitted to skate a maximum of three (3) days before application for associate membership is required.

Section 2. Freestyle Rules.

Freestyle assignments shall be made on a first come-first served basis as follows:

A. Home Club members.
B. Associate club members.
C. Other members of the USFSA.

A skater shall pay for Club Ice prior to setting foot on the ice. A maximum of 20 skaters shall be allowed on the ice during a freestyle Club Ice session.

Only professionals who have a contract with the City of Stockton, Department of Parks and Recreation, shall be allowed to teach during a Club Ice session.
The Club Ice Monitor shall have complete authority over the conduct of all persons during a Club Ice session. At the first incident of a person's misconduct, the Club Ice Monitor shall give the person a verbal warning. At the second incident of misconduct, the Club Ice Monitor shall ask the person to leave the ice. The City of Stockton may also be asked to intervene in such situations. No refunds shall be given for misconduct on Club Ice sessions. The Board of Directors reserves the right to address all misconduct issues on Club Ice sessions when repeated acts of misconduct by the same person or persons persist.

Music tapes shall be played in the order received by the Club Ice Monitor as time permits. Each tape shall be clearly labeled with the skater's name. Each tape shall also be played without interruptions (starts or stops).

In accordance with Club Ice rules as established by the Board of Directors, a professional may request that the music of only one of his/her skating student be played out of order once during a Club Ice session.

ARTICLE XI
LIABILITY


Members of the Club attending any Club Ice session or using any Club or Rink facility or exercising any right to privilege, incident to membership in the Club, shall do so at their own risk and hazard. Every member applying to and accepting membership in the Club assumes all risks and hazards and agrees to hold the Club and all its members, officers, and directors harmless and free from liability of any kind or nature and/or resulting from any injury, loss, or cause whatsoever.

Parents and guardians of all minor members, likewise by acceptance of membership of such minors, assume all risks and hazards incident to such membership and agree to hold the Club and its officers, directors, or members harmless and free from liability of any kind or nature and/or resulting from any injury, loss, or cause whatsoever.

A guest at any Club Ice session assumes all risks and hazards and by acceptance of guest privileges, agrees to hold the Club, its officers, directors and members harmless and free from liability of any kind or nature and/or resulting from any injury, loss, or cause whatsoever.

ARTICLE XII
PROPERTY

Legal title to all property and assets, is vested in the members of the Club in good standing. All such property and assets shall be in the custody and control of the Board of Directors, and no member shall have any individual right therein.

ARTICLE XIII
AMENDMENTS AND BY-LAWS


These bylaws may be amended by a two-thirds vote at a regular annual meeting of the members, provided a fourteen (14) day notice of the general nature of the proposed amendment(s) has been mailed to all voting members. Proxies may be used for voting purposes.

ARTICLE XIV
DISSOLUTION OF THE CLUB


Upon dissolution of the Club for any reason whatsoever, any Club property shall be distributed first to the USFSA and its successors and assigns.

I, the undersigned, do hereby certify

1. That I am the duly elected and acting Secretary of the Stockton Figure Skating Club, and;
2. That the foregoing by-laws, comprising of 13 pages constitute the by-laws of the Stockton Figure Skating Club as duly adopted at a meeting of the general membership held August 2004.
